Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “User,” or “Customer”) and Kansen AI (“Kansen AI,” “we,” “us,” or “our”) governing your access to and use of the Kansen AI website, platform, APIs, dashboards, data feeds, analytics products, and any related services (collectively, the “Services”).

By accessing, registering for, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Kansen AI provides on-chain and off-chain analytics, data aggregation, market intelligence, dashboards, alerts, scoring models, wallet attribution, liquidity analysis, and related informational tools focused on decentralized and centralized prediction markets. The Services are designed to help users research, visualize, and understand publicly available market data.

The Services are an analytics and information product only. Kansen AI:

• Does not execute trades, place orders, route transactions, or hold customer funds, assets, or positions.
• Does not custody, manage, or transfer cryptocurrency, fiat, or any prediction market shares, tokens, or outcome positions.
• Does not operate, host, or sponsor any prediction market, exchange, brokerage, or trading venue.
• Does not provide investment, financial, legal, tax, accounting, or regulatory advice or recommendations.
• Does not solicit transactions in securities, swaps, commodities, derivatives, or event contracts.

3. No Financial, Investment, or Legal Advice

All content, data, scores, signals, classifications, visualizations, analyses, and other output produced by the Services (the “Output”) is provided for informational and research purposes only. The Output does not constitute, and must not be relied upon as:

• Investment advice, a recommendation, an offer, or a solicitation to buy, sell, or hold any asset, contract, token, share, or position;
• A forecast, prediction, or guarantee of the outcome, price, probability, or settlement of any prediction market event;
• Legal, tax, regulatory, accounting, or compliance advice;
• An endorsement of any platform, counterparty, contract, market, or asset referenced in the Services.

You are solely responsible for your own research, decisions, and conduct. You should consult qualified professionals before making any financial, legal, or tax decisions. Kansen AI is not a registered broker-dealer, investment adviser, futures commission merchant, designated contract market, swap execution facility, money services business, or fiduciary in any jurisdiction.

4. Eligibility

To use the Services, you must:

• Be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is greater);
• Have the legal capacity to enter into a binding contract;
• Not be barred from receiving the Services under the laws of your jurisdiction or any jurisdiction to which you are subject;
• Not be located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S., EU, UK, or UN sanctions, and not appear on any sanctions or restricted-party list (including OFAC's SDN list).

Kansen AI may, in its sole discretion, refuse, suspend, or terminate access to the Services to any person or entity for any lawful reason.

5. Accounts and Security

Some features require registration. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials, API keys, and access tokens, and for all activity that occurs under your account. You must promptly notify Kansen AI of any suspected unauthorized access. Kansen AI is not liable for losses arising from unauthorized use of your account.

6. Subscriptions, Fees, and Payment

Access to certain Services may require payment of fees, which will be described at the point of purchase. Unless otherwise stated:

• Fees are billed in advance on a recurring basis and are non-refundable except where required by law.
• Subscriptions renew automatically until cancelled in accordance with the cancellation procedures provided in the Services.
• Kansen AI may change pricing prospectively upon reasonable notice.
• You are responsible for all applicable taxes, duties, and similar charges.

Free tiers, trials, and promotional access may be modified or discontinued at any time without notice.

7. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Services in violation of any applicable law, regulation, sanctions program, or third-party right;
• Reverse engineer, decompile, disassemble, scrape (beyond documented API rate limits), or attempt to derive source code or underlying models;
• Resell, sublicense, redistribute, or commercially exploit the Output or any portion of the Services except as expressly permitted in a written agreement with Kansen AI;
• Use the Services to build, train, or improve any competing data, analytics, or machine-learning product;
• Interfere with, disrupt, or impose unreasonable load on the Services or related infrastructure;
• Bypass or attempt to bypass authentication, rate limits, paywalls, or access controls;
• Use the Services to facilitate market manipulation, fraud, money laundering, terrorist financing, evasion of sanctions, or any other unlawful activity;
• Use the Services to harass, deanonymize, dox, or harm any natural person, including by combining Output with other data to identify individuals beyond what is lawful and reasonable;
• Misrepresent the Output or attribute fabricated or modified data to Kansen AI.

8. API Usage

If Kansen AI provides API access, your use is subject to documented rate limits, quotas, and usage policies, which may be updated from time to time. Kansen AI may throttle, suspend, or revoke API keys that exceed limits, abuse the system, or violate these Terms. You are responsible for all calls made using your API credentials.

9. Data Sources, Accuracy, and Availability

The Services rely on data obtained from public blockchains, prediction market venues, third-party providers, and proprietary models. Such data may be incomplete, delayed, inaccurate, reorganized, revised, or unavailable. Probabilities, scores, attributions, labels, and clusters are estimates generated by heuristics or machine-learning models and may be wrong.

Kansen AI makes no representation that the Output is accurate, complete, timely, current, error-free, or fit for any particular purpose. You acknowledge that on-chain reorgs, oracle failures, market resolution disputes, smart-contract bugs, and venue outages can materially affect Output.

The Services are provided on an “as available” basis and may be modified, suspended, or discontinued in whole or in part at any time without notice.

10. Intellectual Property

Kansen AI and its licensors retain all right, title, and interest in and to the Services, the Output, the underlying models, software, documentation, trademarks, and all related intellectual property. Subject to your compliance with these Terms and payment of applicable fees, Kansen AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Output for your internal business or personal research purposes during the term of your subscription.

No other rights are granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

11. User Content and Feedback

If you submit content, queries, watchlists, configurations, or other materials to the Services (“User Content”), you grant Kansen AI a worldwide, royalty-free, non-exclusive license to host, process, and use such User Content solely to operate, secure, and improve the Services. You represent that you have all necessary rights in User Content. Feedback, suggestions, and bug reports may be used by Kansen AI without restriction or compensation.

12. Third-Party Services and Links

The Services may link to or interoperate with third-party platforms, prediction markets, blockchains, wallets, and data providers. Kansen AI does not control, endorse, or assume responsibility for any third-party service, content, or conduct, including the operation, solvency, security, or settlement behavior of any prediction market or counterparty referenced or analyzed in the Services.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose information. By using the Services, you consent to the practices described in the Privacy Policy.

14. Confidentiality

Non-public information disclosed by one party to the other in connection with the Services (including pricing, technical documentation, and non-public Output) is confidential and may be used only as needed to exercise rights or perform obligations under these Terms, and protected with at least reasonable care.

15. Disclaimers

To the maximum extent permitted by law, the Services, Output, and all related materials are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, Kansen AI disclaims any warranty that the Services or Output will enable profitable trading, accurate prediction of events, or any particular financial result. Any action you take based on the Output is at your sole risk.

16. Limitation of Liability

To the maximum extent permitted by law, in no event will Kansen AI, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, trading losses, opportunity costs, or business interruption, arising out of or relating to the Services, the Output, or these Terms, whether based on contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages.

In all cases, Kansen AI's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts paid by you to Kansen AI for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the foregoing limitations apply to the maximum extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Kansen AI, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Services or Output; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any trading, investment, or transactional decisions you make in reliance on the Services.

18. Suspension and Termination

Kansen AI may suspend or terminate your access to the Services at any time, with or without notice, for any breach of these Terms, suspected misuse, legal or regulatory requirement, or for any other lawful reason. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 3, 10, 11, 14, 15, 16, 17, 19, 20, and 21) will survive.

19. Changes to the Terms

Kansen AI may modify these Terms from time to time. Material changes will be communicated by posting an updated version with a revised “Last updated” date and, where appropriate, by additional notice. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

20. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy and any order forms or written agreements between the parties, constitute the entire agreement and supersede all prior agreements regarding the Services.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be reformed to the minimum extent necessary.
• No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
• Assignment. You may not assign these Terms without Kansen AI's prior written consent. Kansen AI may assign these Terms, including to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
• Force Majeure. Kansen AI is not liable for delays or failures due to events beyond its reasonable control, including network outages, blockchain reorganizations, oracle failures, governmental actions, or acts of God.
• Headings. Headings are for convenience only and do not affect interpretation.
